Governing Document
Revised and adopted at an Extraordinary General Meeting 22 March 2007
Aims of the Club
1. To foster interest, talent and enjoyment in photography by providing opportunity for people in the community to participate actively and share their experience, enthusiam and knowledge.
2. To encourage high standards by providing opportunity for members to see and discuss the work of highest quality in all areas of the medium.
3. To enhance technical skills, artistic expression and individual aspirations by providing opportunity for analysis and criticism, in competitive situations, by qualified judges.
4. To enrich other community activities by offering photographic support and providing opportunity for exhibition and celebration of different achievement.
B. Annual General Meeting
The club shall hold an Annual General Meeting (AGM) in January. Only subscribing members shall be eligible to propose, second or vote on, resolutions. An Extraordinary General Meeting (EGM) may be called at any time by no less than two members.
C. Election of Officers
The club shall elect a minimum of four officers. That is, Chairman, Secretary/Membership Secretary, Treasurer and Programme/Competition Secretary. These officers shall compose the club Executive Committee, with a power to co-opt at any time. They shall be elected at each AGM by a seconded proposal and a simple majority vote if opposed. Incumbent officers may be re-elected. The club may in any year, at the AGM, elect a President who shall serve in a non-executive capacity. Nominations to the post of Presidency shall be based upon outstanding contribution and service to the club.
D. Subscriptions
Subscriptions shall be due on February 1st each year at a rate being approved at the previous AGM. For those members who join after 30th September in any year, the subscription shall be set at 50%. A concessionary rate of up to 50% shall be available to those who receive benefit and those under 18. Visitors are welcome to any of the meetings. On the fourth attendance, they shall be required to join and pay the appropriate subscription.
E. Annual Programme
The club shall meet in the Millbrook Village Hall, Millbrook on Thursday evenings at 8-10pm, from January - May and October - December, excluding Easter and Bank holidays. During June, July and August, a series of evening, half and whole day field trips shall be arranged. An annual programme shall be planned and published by the Executive Committee by December each year.
F. Competitions
A set of competition rules shall be published by the Executive Committee.
G. Disposal of Club Assets
In the event that the Executive Committee considers that closure of the club may be necessary, a Winding Up Meeting shall be convened, at fourteen days notice. Those members who attend shall be deemed the quorum.
If the Winding Up Meeting resolves that the club should cease, then assets shall be disposed of by the Executive Committee as follows:

1. All equipment owned by the club shall be sold, at a reasonable market value, as determined by the Executive Committee.

2. All outstanding financial liabilities shall be met.

3. A Final Balance Sheet shall be drawn up and made available to members. The outstanding balance shall be donated to The East Anglian Federation of Photographic Societies for the promotion of amateur photography in the region.
H. Alteration to Governing Document
Any alteration to this Governing Document shall require a majority vote at an AGM or EGM.
